Principles of Ethical Management

Brim Biotechnology has established an Integrity Management Committee in accordance with the “Principles of Ethical Corporate Management for TWSE/TPEx Listed Companies” and other applicable regulations. The committee is composed of representatives from Operations Management, Audit, Legal Affairs, Human Resources, and Finance departments. It is responsible for formulating relevant rules and policies to ensure that directors, senior management, and employees comply with and implement the company’s integrity policies.

Regular and ad hoc training courses on ethics, anti-corruption, and insider trading prevention are conducted annually to strengthen awareness and commitment to ethical business practices.

The Integrity Management Committee reports annually to the Board of Directors on the implementation and effectiveness of the company’s integrity management practices.

Since 2022 , the following regulations and policies have been promulgated and implemented:

Whistleblowing System and Channels

For any internal misconduct or complaints related to ethical business practices, employees and stakeholders may submit anonymous reports in any form. A designated department is responsible for receiving, investigating, and handling such reports, and will take necessary follow-up actions upon the completion of the investigation.

Brim Biotechnology strictly protects the confidentiality of the whistleblower’s identity and the contents of the report to ensure that no retaliation or unfair treatment occurs as a result of reporting. If any criminal or illegal activities are discovered during or after the investigation, the company will impose disciplinary actions or pursue accountability in accordance with legal procedures.
