Establishment Overview
On May 9, 2023, the Board of Directors appointed Amanda Yen, Vice President of the Finance and Accounting Department, as the Corporate Governance Officer, responsible for handling corporate governance-related matters to safeguard shareholders’ rights and strengthen the functions of the Board of Directors.
Amanda Yen has served as the head of accounting for a public company for more than three years, meeting the qualifications stipulated in the “Directions for the Implementation of the Functions of the Board of Directors of Listed and OTC Companies.”
Scope of Duties
The Corporate Governance Officer is responsible for the following matters:

Handling matters related to meetings of the Board of Directors and shareholders’ meetings in accordance with the law.

Preparing the minutes of the Board of Directors and shareholders’ meetings.

Assisting directors in onboarding and continuing education.

Providing directors with the information required for the performance of their duties.

Assisting directors in complying with laws and regulations.

Other matters as specified in the Company’s Articles of Incorporation or internal rules.
Implementation of Duties

Responsible for organizing meetings of the Board of Directors and shareholders’ meetings, and preparing related meeting minutes.

Assisted directors in continuing education by arranging courses such as “Corporate Governance and Securities Regulations.”

Provided necessary information and assistance to directors in the performance of their duties.

Assisted directors in complying with applicable laws and regulations by notifying them promptly of any newly promulgated or amended governance-related regulations.
Annual Continuing Education
The newly appointed Corporate Governance Officer, Vice President Amanda Yen is required to complete 18 hours of continuing education within one year of appointment in accordance with the “Directions for the Implementation of the Functions of the Board of Directors of Listed and OTC Companies.”
